Boundary Post Article - Chairman's thoughts...Martin O'KeefeThe EGM as held and the resolution to close the unincorporated society and transfer the assets and liabilities into the new incorporated society was approved. Thus the old BCN Society will close at the end of July and the new Society will run from the beginning of August. The only change really is that each member will have to contribute £1 in the event that the new society Limited by guarantee was wound up. The constitution of the society is now contained within the Articles of Association of the company and these have been drafted to follow the old constitution where possible. The main difference being those rules governing the election of officers (now referred to as council members) and the period they can remain in office. Council Members will be elected to serve for a period of 3 years and will be able to hold office for a maximum of two consecutive terms i.e 6 years. At the next AGM on 7th November all the council members will be re-elected and only a third will need to be re-elected in the subsequent years. The council will select Chairman, Secretary and Treasurer from amongst the council. This has been arranged so that there will be continuity of the council and that there is a maximum term which anyone can hold office. Copies of the Articles can be supplied by the secretary (however there will be a charge of £2 to defray printing and postage costs) and they will be available for inspection at the AGM. | ||||||||||||||||
